Terms of Use for SecureLocate
Effective Date: 18 February 2025

1. Acceptance of Terms
By accessing and using the SecureLocate web application (the “Application”), you agree to be bound by these Terms of Use (“Terms”) and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately discontinue use of the Application.

2. Description of the Service
SecureLocate is an online platform designed to provide information about security companies and their service areas. The Application offers mapping features and company profiles for informational purposes. In addition, SecureLocate provides commercial services for security companies, which may include:

  • Advertising on the SecureLocate platform
  • Embeddable map functionality for integration into third-party websites
  • The ability to update and manage service area information

For users accessing the Application for personal, non-commercial purposes, only the general information and mapping features are available. Commercial features are subject to separate terms and fees, as set out in Section 4 below.

3. Use of the Application

3.1. General (Non-Commercial) Use

  • Eligibility: You affirm that you are at least 18 years of age or otherwise legally capable of entering into binding contracts.
  • Permitted Use: The Application is provided for personal, non-commercial use. You agree to use the Application only in accordance with these Terms and all applicable laws.
  • Prohibited Conduct: You must not misuse the Application or interfere with its operation. Prohibited actions include, but are not limited to, unauthorized access, transmitting harmful code, or engaging in any conduct that may disrupt or damage the Application or its associated services.

3.2. Commercial Use by Security Companies
Security companies that subscribe to SecureLocate’s commercial services must adhere to these Terms as well as any additional commercial provisions and payment obligations set forth in Section 4. Use of commercial features is granted solely in accordance with the subscription or service agreement in place between SecureLocate and the security company.

4. Commercial Services and Payment Terms

4.1. Scope of Commercial Services
For a fee, SecureLocate offers the following commercial services to security companies:

  • Advertising: Placement of company profiles and advertisements within the Application.
  • Embeddable Map Functionality: Integration of SecureLocate’s map features on third-party websites to display a company’s service area.
  • Service Area Management: Tools to update and manage information regarding the geographic areas serviced.

4.2. Subscription and Payment Terms

  • Fees and Billing: Commercial services are provided on a subscription basis or via one-time payment arrangements as agreed upon in writing by SecureLocate. Details regarding fees, billing cycles, renewal terms, and any applicable taxes will be outlined in the commercial service agreement.
  • Payment Obligations: Access to commercial services is contingent upon timely payment. Failure to pay any fees due may result in suspension or termination of the commercial services.
  • Refunds: All fees paid are non-refundable unless otherwise expressly agreed in writing by SecureLocate.

4.3. Content Submission and Approval
Security companies are responsible for ensuring that any information or promotional content submitted for advertising or displayed via the embeddable map is accurate and complies with all applicable laws and SecureLocate’s guidelines. SecureLocate reserves the right to review, approve, or reject content in its sole discretion.

4.4. Service Level and Modifications
SecureLocate will make commercially reasonable efforts to ensure the availability and performance of its commercial services. However, SecureLocate does not guarantee uninterrupted or error-free service. SecureLocate reserves the right to modify or discontinue commercial features at any time, provided that such modifications do not materially affect already agreed-upon services without prior notice.

5. User Responsibilities

  • Accuracy of Information: While SecureLocate strives to maintain accurate data, you acknowledge that company information provided on the Application is sourced from security companies and public records. Users are responsible for independently verifying any details before relying on them.
  • Compliance: Your use of the Application must comply with all applicable local, national, and international laws and regulations.

6. Intellectual Property Rights

  • Ownership: All content, design, trademarks, logos, and software used in the Application are the property of SecureLocate or its licensors.
  • License: SecureLocate grants you a limited, non-exclusive, non-transferable license to access and use the Application solely for personal, non-commercial purposes. For security companies subscribing to commercial services, a separate, non-transferable license is granted solely for the duration and scope of the commercial service agreement. No rights are granted to modify, reproduce, distribute, or create derivative works without prior written consent.

7. Third-Party Services and Content
The Application may integrate third-party services, including mapping platforms, to enhance functionality. SecureLocate does not control and is not responsible for third-party content, privacy practices, or the accuracy of data provided by these services. Links to external websites or resources are provided for convenience only, and SecureLocate is not responsible for their content or availability.

8. Disclaimer of Warranties
The Application is provided on an “as is” and “as available” basis. SecureLocate expressly disclaims all warranties, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement. SecureLocate does not warrant that the Application will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability
In no event shall SecureLocate, its affiliates, directors, employees, or agents be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with your use of, or inability to use, the Application or any commercial services provided hereunder. This limitation applies to all claims, whether based on contract, tort, negligence, strict liability, or any other legal theory, to the fullest extent permitted by applicable law.

10. Indemnification
You agree to indemnify, defend, and hold harmless SecureLocate and its affiliates, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Application, your breach of these Terms, or any violation by you of any rights of a third party.

11. Termination
SecureLocate reserves the right to suspend or terminate your access to the Application, with or without notice, at its sole discretion, if you violate these Terms or if SecureLocate deems it necessary to protect its interests, users, or third parties. In the case of commercial services, termination of the service agreement may result in the cessation of access to commercial features, and any outstanding fees shall remain payable.

12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising from these Terms or the use of the Application shall be subject to the exclusive jurisdiction of the South African courts.

13. Modifications to the Terms
SecureLocate reserves the right to modify or update these Terms at any time without prior notice. Changes will be effective immediately upon posting. Your continued use of the Application following any modifications constitutes your acceptance of the updated Terms. For commercial services, any changes that materially affect the service will be communicated directly to the subscribing security company in advance.

14. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published on the Application, constitute the entire agreement between you and SecureLocate regarding your use of the Application, superseding any prior agreements or understandings. For commercial services, the commercial service agreement supplements these Terms and shall be read in conjunction with them.
